TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By downloading, installing, accessing, or using the VIL ERP Mobile Application (“App”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy.

2. ELIGIBILITY

The App is intended for use only by authorized employees, drivers, partners, and other internal users of Varuna Integrated Logistics Pvt. Ltd. Users must be at least 18 years of age to access or use the App.

3. LICENSE GRANT

Varuna Integrated Logistics Pvt. Ltd. grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the App solely for authorized business and operational purposes. All rights not expressly granted herein are reserved.

4. USER RESPONSIBILITIES

You agree to:

• Provide accurate, current, and complete information as required.
• Maintain the confidentiality of your login credentials and account information.
• Use the App solely for authorized business and operational purposes.
• Not copy, modify, tamper with, reverse-engineer, decompile, disassemble, or otherwise misuse the App or any data contained within it.
• Comply with all applicable laws, regulations, and Varuna Integrated Logistics Pvt. Ltd.’s internal policies and guidelines.

5. DATA COLLECTION AND PRIVACY

Your use of the App is subject to our Privacy Policy, which explains:

• What data is collected (e.g., location, camera, storage, device information)
• How data is used
• How data is stored, shared, and secured

Consent for Background Location:

Users will be prompted to provide explicit consent before background location tracking is enabled. The App provides clear and prominent disclosures explaining the purpose of collecting background location data and how such data is used.

6. INTELLECTUAL PROPERTY

All intellectual property rights in and to the App, including but not limited to its software, content, graphics, trademarks, and logos, are owned by Varuna Integrated Logistics Pvt. Ltd. or its licensors. Any unauthorized use, reproduction, modification, distribution, or display of the App or its contents is strictly prohibited.

7. LIMITATION OF LIABILITY

The App is provided on an “as is” and “as available” basis. Varuna Integrated Logistics Pvt. Ltd. shall not be liable for:

• Any loss, damage, or operational disruption arising from the use of, or inability to use, the App; or
• Any errors, omissions, delays, or inaccuracies in tracking, notifications, data, or reports generated by the App.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Varuna Integrated Logistics Pvt. Ltd., its directors, officers, employees, affiliates, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the App or violation of these Terms.

9. MODIFICATIONS

Varuna Integrated Logistics Pvt. Ltd. reserves the right to modify or update these Terms at any time. The most current version will be made available within the App. Your continued access to or use of the App after such changes constitutes acceptance of the revised Terms.

10. TERMINATION

Varuna Integrated Logistics Pvt. Ltd. reserves the right to suspend or terminate your access to the App, with or without notice, if you:

• Violate these Terms;
• Misuse or abuse the App;
• Engage in unauthorized, fraudulent, or illegal activities.

Upon suspension or termination, all rights granted to you under this license will immediately cease, and you must discontinue use of the App and delete it from all devices in your possession or control.

11. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with the App or these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Gurugram, Haryana, India.
